Assisting Municipalities With Issuance of Bonds, ban's and other General Obligations
Cities, towns, villages, school districts and fire districts in New York are covered by the state's Local Finance Laws. They issue general bond obligations backed primarily by their authority to levy property taxes.
Bond counsel has a specific role in the issuance of Bonds, BANs and other general obligations under the Local Finance Law. You will need a lawyer to prepare certain documents and issue opinions as to validity and tax exemption.
Our firm serves as bond counsel for both privately placed and publicly offered municipal bonds, and for short-term TANs and RANs, as well as capital projects. We are highly experienced at guiding clients through complex municipal finance transactions. We serve as bond counsel for financings through the New York State Environmental Facilities Corporation (EFC), USDA Rural Development and other state and federal grant or subsidized loan programs.
We also advise municipalities regarding related matters such as establishment of capital reserves, district proceedings and investment guidelines. We provide opinions and prepare proceedings for capital lease financings and energy performance contracts.
Representing All Types of Parties in Public Authority Bond Projects
Public authorities such as industrial development agencies (IDAs), local public authorities and state benefit corporations in New York State have the ability to issue revenue obligations backed by revenue from specific projects.
In our role as bond counsel, we advise agencies on tax matters, disclosure, preparation of authorizing proceedings and all other relevant matters.
Projects include direct activities of a public authority such as solid-waste facilities, or conduit financing for industrial, housing and not-for-profit purposes. Transactions may involve bond insurance, variable rate bonds, letters of credit and other liquidity and credit facilities. We handle projects financed through the New York State Dormitory Authority as well as federal housing programs. We also represent trustees, banks and underwriters in connection with public authority finance transactions.
